2. Service Agreement

Each project may be governed by a separate proposal, quotation, statement of work, or service agreement. Where such an agreement exists, it shall take precedence over these Terms in relation to that project.

3. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information required for project execution.

  • Supply necessary access to websites, hosting accounts, advertising platforms, social media accounts, and other required tools.

  • Review deliverables promptly and provide timely feedback.

  • Ensure that all materials supplied to GreyHux do not infringe upon any third-party rights.

Project delays caused by late responses or failure to provide requested information may affect delivery timelines.

4. Payments

Payment terms will be specified in the invoice or project agreement.

Unless otherwise agreed:

  • Deposits are non-refundable once work has commenced.

  • Full payment must be made within the agreed payment period.

  • Late payments may result in suspension of services.

  • GreyHux reserves the right to charge reasonable late payment fees where permitted by applicable law.

5. Intellectual Property

Unless otherwise agreed in writing:

  • Clients retain ownership of content they provide.

  • GreyHux retains ownership of proprietary methods, templates, tools, software, processes, and know-how.

  • Final project deliverables become the client’s property after full payment has been received.

  • GreyHux may display completed work in its portfolio unless the client requests confidentiality in writing.

6. Marketing Performance Disclaimer

Digital marketing outcomes depend on numerous external factors including market conditions, competition, advertising platforms, search engine algorithms, customer behavior, and budget.

Accordingly, GreyHux does not guarantee:

  • Specific rankings on search engines.

  • Sales or revenue increases.

  • Advertising performance.

  • Website traffic levels.

  • Lead generation volumes.

  • Marketplace ranking improvements.

We commit to applying industry best practices and professional expertise to every project.

7. Third-Party Platforms

GreyHux works with third-party services including advertising networks, website hosts, social media platforms, analytics providers, e-commerce marketplaces, and payment processors.

We are not responsible for:

  • Platform outages

  • Policy changes

  • Account suspensions

  • Algorithm updates

  • Third-party pricing changes

  • Actions taken by external service providers

8. Confidentiality

Both GreyHux and the client agree to keep confidential information private and not disclose it to unauthorized parties except where required by law.

9. Limitation of Liability

To the fullest extent permitted by law, GreyHux shall not be liable for:

  • Loss of profits

  • Business interruption

  • Loss of data

  • Loss of reputation

  • Indirect or consequential damages

Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

10. Termination

Either party may terminate a project by written notice.

Where termination occurs:

  • Work completed up to the termination date shall be invoiced.

  • Outstanding invoices remain payable.

  • Deliverables completed after full payment will be released to the client.

11. Website Use

Users agree not to:

  • Attempt unauthorized access to our systems.

  • Upload malicious software.

  • Copy or reproduce website content without permission.

  • Use our website for unlawful purposes.

12. Amendments

GreyHux reserves the right to update these Terms & Conditions at any time. Updated versions will be posted on this page with a revised effective date.

13. Governing Law

These Terms shall be governed by the laws applicable in the jurisdiction where GreyHux operates, unless otherwise agreed in writing.
